What Is An XAD Distribution Partner?
A Distribution Partner is an independent business or individual who refers paying clients to XAD in exchange for a flat referral fee per completed job. You own the audience. We own the operation. You earn on every booking that closes β and you can verify every one.
Pure Referral Model
You refer a client β in person, online, via your audience, or through a business relationship. XAD handles booking, execution, invoicing, and quality. You earn your fee when the job is completed and payment is collected.
Independent Arrangement
This is a business-to-business referral agreement, not employment. You operate independently under the Common Law of Contract (Canada). You control your methods, your audience, and your promotional approach entirely.
Transparent Fee Structure
Flat fees per job type β fixed amounts confirmed in your signed Distribution Partner Agreement. They do not change without 30 days written notice and your consent.

Send A Quick Email Before Or When You Refer
When you send a client to XAD, email help@xcelautodetailing.ca with the client's name and what service they are interested in. That email is timestamped in your sent folder and in XAD's inbox simultaneously β creating an independent record on your side before the job is even booked. One sentence is enough: "Sending you Jane Smith β interested in a ceramic coating."
Your Referred Client Mentions You When They Contact XAD
When your client reaches out to XAD β by phone, email, or booking form β they state your name or business as their referral source. XAD records this at intake against the client file. Combined with your email from Method 01, both parties hold an independent record of the same referral. When the job closes, XAD emails you a written Job Completion Confirmation β your record that the fee has been triggered.
Your Audit Rights β Contractual & Law-Referenced
Your Distribution Partner Agreement includes an explicit Audit Rights clause. Once per 90-day period, you may email help@xcelautodetailing.ca to request a written Referral Attribution Summary showing all jobs attributed to you β including job reference numbers, completion dates, fees triggered, and payment status. XAD must respond within 10 business days. Failure to provide an accurate summary constitutes a material breach of the agreement, reinforced by the Duty of Honest Performance in Bhasin v. Hrynew, 2014 SCC 71.
If A Dispute Ever Arises
Email help@xcelautodetailing.ca with the client's name, the date you sent your referral email, and the service booked. XAD responds in writing within 5 business days. Your sent email timestamp and XAD's client intake record are both admissible evidence. If unresolved within 30 days, either party may initiate binding arbitration in Mississauga, Ontario. The process is designed so disputes are rare β and straightforward when they arise.

Distribution Partner Fee Schedule
Flat referral fees per completed, paid job. Fixed amounts confirmed in your signed Distribution Partner Agreement. HST applies on your referral fee invoices per the Excise Tax Act (R.S.C. 1985, c. E-15) at 13% Ontario rate if you are a registered HST recipient.

Your referred client reaches out to XAD and mentions your name at intake. XAD records this against their file. Your email and their declaration are now two independent matching records.
XAD Executes The Job
XAD handles all scheduling, execution, and quality. You have zero operational involvement from this point forward.
You Receive Completion Confirmation
When the job closes and payment is collected, XAD emails you a written Job Completion Confirmation stating the client, service, date, and referral fee triggered.
You Invoice & Get Paid
Reply to the confirmation with your invoice referencing the job number. XAD processes EFT payment within 14 business days. No chasing, no ambiguity.

The Distribution Partner Agreement is a commercial referral contract governed by the Common Law of Contract (Canada), the Province of Ontario, and applicable federal statutes. It establishes the parties as independent contracting businesses β not employer and employee β and documents the referral fee structure, attribution system, audit rights, payment terms, confidentiality obligations, privacy compliance, and termination provisions.

What The Distribution Partner Agreement Covers
Attribution, Audit Rights & Dispute Resolution+
Audit rights: Once per 90-day period, you may submit a written request to help@xcelautodetailing.ca for a Referral Attribution Ledger covering any specified 90-day window. XAD must provide the ledger within 10 business days. The ledger will show all bookings attributed to your partner code, job reference numbers, completion dates, fees triggered, and payment status.
Dispute process:
- Step 1 β Submit written attribution dispute with supporting evidence (referral log timestamp, client intake date, partner code)
- Step 2 β XAD responds in writing within 5 business days
- Step 3 β If unresolved after 30 days, binding arbitration in Mississauga, Ontario
- Step 4 β All records from both parties are admissible as evidence
Fee Payment Terms & Invoicing Requirements+
Invoice requirements:
- Your legal business name or registered trade name
- Your CRA Business Number and HST number (if registered)
- XAD Job Completion Confirmation reference number
- Date of completed service
- Service description and agreed referral fee amount
- HST amount (if applicable) at 13% Ontario rate
- Your bank details for EFT payment
Disputed jobs: If a client dispute results in a refund by XAD, the referral fee for that job is voided. If already paid, it is credited against a future invoice.
Confidentiality & Non-Solicitation+
Client data (PIPEDA): Client personal information must be handled with appropriate safeguards and used only for completing the referral. PIPEDA (S.C. 2000, c. 5) governs all personal data handling.
Non-solicitation: During the agreement and for 12 months following termination, you may not directly solicit identified XAD clients for competing detailing services. General public marketing is not restricted.
Termination & Exit Provisions+
Immediate termination triggers: Fraudulent referral submissions, misrepresentation of XAD services, breach of confidentiality, non-solicitation breach, or any act materially harming XAD's brand or client relationships.
Earned fees on termination: Fees earned on completed and collected jobs prior to termination are paid in the normal 14-business-day window. No fees are owed for jobs not yet completed at termination.
Surviving obligations: Confidentiality and non-solicitation survive 12 months. PIPEDA data handling obligations survive indefinitely.
Tax Obligations β What You Must Know+
Income tax (Income Tax Act, R.S.C. 1985 c.1): Report on Form T2125 with your T1 return (sole proprietor) or T2 (incorporated). Remit your own income tax instalments if required.
CPP: Self-employed individuals pay both portions of CPP β 11.9% combined for 2026 β on net self-employment income above the basic exemption.
HST (Excise Tax Act, R.S.C. 1985, c. E-15):
- Register for HST with CRA if gross revenues exceed $30,000 annually
- Charge 13% Ontario HST on all invoices to XAD once registered
- Remit net HST to CRA on your filing schedule
- Claim ITCs on HST paid on your own business expenses
- Provide your 15-digit HST number on all invoices
Governing Law & Dispute Resolution+
Dispute resolution: Good-faith resolution within 30 days of written notice. If unresolved, binding arbitration in Mississauga, Ontario under Ontario arbitration law.
Jurisdiction: Courts of Ontario sitting in the Regional Municipality of Peel if arbitration fails.
Electronic signatures: Valid and binding under the Electronic Commerce Act, 2000 (Ontario).
Severability: Invalid provisions are modified to the minimum extent necessary to be enforceable. The remainder of the agreement continues in full force.
